& priv. co’s in conn. w/ employee benefits and executive compensation
matters rel. to M&A, spin-offs, IPOs, other corp. transact. Structure &
maintain benefits and compensation plans & arrangements, incl. equity,
equity-based, other incentive-based compensation. Prepare proxy materials &
sec. filings rel. to executive compensation matters in publ. co’s. Design &
implement executive compensation and other service provider arrangements for
execs. & employees. Negotiate, prepare, revise benefits-related provisions
or sections in primary transact. docs., incl. operating agreements, merger or
purchase agreements. $365,000 per year. Req’mts: JD or foreign equiv. or LLM or
foreign equiv., NY Bar, 3 yrs of exp. in position or 3 yrs. of alternate
occupational exp. performing complex benefits & compensation advisory legal
